These terms apply to work AP Websites undertakes for its clients. They're written in plain language and are intended to set fair expectations for both sides. Specific details of any engagement are always agreed with each client individually before work begins.

Scope of services

AP Websites provides website design, website build, ongoing website care, and website refresh services for businesses in New Zealand. What that looks like in practice varies from client to client.

Project scope, timeline and deliverables

Scope, timeline and deliverables are confirmed individually with each client in writing before work begins. We don't publish a fixed price list because every business is a little different. Any change in scope during a project will be discussed and agreed before it's carried out.

Payment terms

Project pricing, invoicing schedule and payment dates are set out in the written quote or proposal for each project and are agreed before work begins. Invoices are issued by email and payable by bank transfer in New Zealand dollars by the due date shown on the invoice. Ongoing website care is invoiced separately on the cycle agreed at the time it is arranged, and can be cancelled by either party with reasonable notice.

Ownership of the finished website

Once a project has been completed and paid for in full, the finished website — its design, content and page code — belongs to the client. Text, images and logos supplied by the client remain the client's property throughout. Third-party components used in a website, such as fonts, stock imagery, plugins or hosting services, remain subject to their own licences, which are passed on to the client where the licence allows. Cancelling an ongoing hosting or care arrangement does not affect ownership of the website, and we will provide a copy of the site files on request.

Limitation of liability

AP Websites will take reasonable care in providing its services, but to the extent permitted by law we are not liable for any indirect, incidental, consequential or special loss (including loss of profits, revenue, data or business opportunity) arising out of or in connection with our services. Our total liability for any claim relating to a project will not exceed the fees paid by the client for that project. Nothing in these terms limits any rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where they apply.

Governing law

These terms and any engagement with AP Websites are governed by the laws of New Zealand, and the New Zealand courts have exclusive jurisdiction over any dispute.
